Course Overview
Do you understand the corporate governance requirements for Guernsey companies, and organisations? Corporate governance refers to the system by which corporations are directed and controlled. This course will focus on reviewing the history of corporate governance in the UK, US and Guernsey. It will look at the impact of the regulations on business practices and how these can be applied in our existing roles and will also look at the implementation of the Guernsey corporate governance rules introduced in 2012.
Course Content
This half day course is aimed at those with 3-5 years’ experience in finance or commercial organisations, and particularly those responsible for corporate governance within their organisation. No assumed knowledge of corporate governance is required.
Corporate governance is a term that is widely used with organisations. It rightly means different things to different people. Listed companies have been the initial types of organisations to be subject to corporate governance standards following a number of corporate scandals.
The regulatory environment in Guernsey has changed. Regulated entities are now required to meet the requirements of the “Code of Corporate Governance”. Its introduction, although much briefer than originally expected, requires entities to potentially change, or at the very least document their compliance with the code.
The objective of this session is to explore the role of corporate governance within an organisation. This course will look at the theoretical and relevant regulatory aspects of corporate governance, and then encourage you to apply these in a practical manner.
The course will also look at the introduction of the GFSC Code of Corporate Governance and how this can be applied practically in a Guernsey regulated organisation.
The course will cover:
- What is corporate governance?
- Corporate governance rules (UK Listing Rules and Guernsey)
- Overview of Guernsey corporation governance code
- How do you practically interpret the Guernsey guidance?
- How do you successfully implement the guidance and demonstrate and document compliance?
- Roles and responsibilities of directors
- The control environment and the role of controls
- Risk assessment and management
- Practical examples/case study.

All Guernsey licensed businesses are required to comply, and demonstrate that they have complied with the Guernsey “Code of Corporate Governance”. This course will enable you to ensure that you are meeting the required standards, and practically plan to cover any implementation gaps you may have.
