Course Overview
This course aims to provide a detailed understanding of the key terms, parties, mechanisms and structures used by Private Equity funds at an advanced level.
Worked examples will be used to investigate and demonstrate typical structures and lifecycle transactions.
Course Content
Private equity investment typically involves the purchase and restructuring of companies which are not publicly traded. Investments of this kind are typically illiquid and require a stream of investment over the course of the restructuring rather than one up-front payment.
In order to match the cash flows of investors to these requirements, investors are required to legally commit to investing a particular amount, but are not required to transfer the full investment on day 1.
In order to manage these unique cash flow requirements, and to manage the liability of investors in the funds and incorporate tax efficiencies, sector specific structures and vehicles have developed as well as the adaptation of more traditional corporate vehicles.
Each structure is different and therefore it is important for professionals in this area to understand the mechanics of key processes to ensure these are administered and accounted for in line with industry best practice.

- Overview of the Private Equity Structures
- Financial Statement for LP / GP Structures
- Preparation of the NAV for PE, with considerations of the NAV productions for LP / GP Structures
- Reporting for Partnership
- Equalisation Theory and Calculations
- Carried Interest Theory and Calculations
- Waterfall Methodology and Calculations
- Distributions
- Different PE operating structures

Prerequisites
This is an advanced course and requires prior knowledge of basic private equity administration and accounting.
