Course Overview

This occasional series aims to assist those in senior and director level positions keep up-to date with relevant issues and topics pertinent to Guernsey directors in each one-hour session.

A light sandwich lunch will be served to attendees and there will be an opportunity to network prior to the session.

Course Content

Session One – Regulatory and Corporate Governance Questions for Self-Assurance – 15 June 2022

This session will cover the following topics that should be considered by all directors of companies licensed under the Protection of Investors (Bailiwick of Guernsey) Law, 2020 (the POI Law), to ensure their duties are met in the current regulatory environment:

  • Corporate Governance
  • Conflicts of Interest
  • Outsourcing
  • The Compliance Function
  • Compliance Monitoring Programme
  • Sanctions
  • The Business Risk Assessment
  • Cyber Security

Session Two – Leading with Purpose – How to be the heart of a team – 26 September 2022

Drawing on some of the lessons of L David Marquet and Drexler, Sibbet and Forrester, this session will explore the different styles of leadership focusing in particular on the vital importance and benefits of a leader putting common purpose at the heart of their team. This approach moves away from making a team leader the all-knowing, the indispensable heart of the team and focusses the importance of leaders creating not just loyal followers but creating new leaders from the ranks of the followers through developing common purpose and trust.

Course Tutors

  • David Joel

    David Joel is a qualified physicist with 22 years in the aerospace and defence sector and 10 years in the services and facilities management sector in leadership, finance and business development roles.
    David was seconded to the US, leading a multi-disciplinary team to penetrate the US defence marketplace.
    Upon return from the US, David took a post as the managing director of a newly acquired SME, dealing with the change and culture issues that characterise a new business acquisition. Whilst in the facilities management sector, David led a bid team for the privatisation of the atomic weapons establishment: Aldermaston, managing a three-way partnership comprised of Lockheed Martin, British Nuclear Fuels and Serco.
    In 2002, David founded Lanson Consultants Ltd. David is also a former chairman of the Portsmouth and East Hampshire Chamber of Commerce and a former board member of Hampshire Chamber of Commerce. Until recently David was also a member of the council of governors for the Queen Alexandra Hospital. David currently chairs the East Hampshire business forum, provides board-level coaching on business strategy to a blue chip organisation in the financial services sector and interviews prospective candidates for the IoD Chartered Director programme.

    David qualified with a diploma in Company Direction at the IoD in 2001 and became a Chartered Director in 2003.
    In his course leader capacity with the IoD David has worked with organisations such as the MoD, Office Depot, Mainetti, Cassidian, Commerzbank, Skanska, Travis Perkins, First Group and the NHS.

  • Mel Torode

    Mel Torode has over 20 years' experience in the fund administration industry in Guernsey specifically including private equity, property and mezzanine debt.

    Mel is an Independent Non-Executive Director with a portfolio of listed and private fund clients and is a director and founder of Advisory Services (Guernsey) Ltd, an independent company providing board & governance, compliance & risk services and training.
    During her career to date, Mel has worked at all levels of fund administration, from trainee to Managing Director, has founded, successfully grown and sold her own fund administration business, has worked in all sizes of company from 2 people to 100 people, has been part of owner-managed and large global operations and has established a varied portfolio of clients as a NED. Alongside administration, company secretarial and leadership positions, Mel has held roles as Compliance Officer and MLRO, as well as focusing consistently on corporate governance during her career.
